Determining the Research Agreement that You Need

Research agreements come in a variety of forms. The ORGSP is here to assist you in identifying the type of agreement that best fits your research need. Before any agreement is signed or negotiated with another party, it should be reviewed by both the ORGSP and the LMU Office of General Counsel. With a variety of templates and aids to help you begin, the ORGSP should be your first stop when considering a research agreement.

Sponsored Research Agreement

An agreement under which the sponsor provides funding, research equipment, or materials to the University for a specified research project. Typically includes detailed provisions regarding budget, timeline, reporting requirements, intellectual property, publications, and compliance with sponsor regulations.

Collaborative Research Agreement

An agreement under which two or more parties agree to collaborate on a defined research project. The agreement will typically specify project scope, responsibilities, personnel, budget (if any), publication rights, and intellectual property ownership.

Clinical Trial Agreement

An agreement in which a sponsor supports the University to carry out a clinical trial, usually involving human subjects. Includes details on regulatory compliance, IRB approval, data monitoring, safety reporting, publication policies, and indemnification.

Confidential Disclosure Agreement

Also known as a non-disclosure agreement (NDA); defines what confidential information may be shared between parties and under what conditions, the obligations for safeguarding that information, and the duration of confidentiality.

Data Use Agreement

An agreement that sets out the terms under which data (often patient or proprietary data) is shared and used. Covers limits on use, confidentiality, security, reporting, publication, and data destruction at the conclusion of the project.

Material Transfer Agreement

An agreement that governs the transfer and use of tangible research materials between institutions. Addresses permitted use, confidentiality, intellectual property rights, publication, and disposal or return of materials.

Memorandum of Understanding

A non-binding agreement that outlines the intent of two or more parties to collaborate or engage in future activities. MOUs typically describe shared goals, roles, and general terms of cooperation but do not involve the exchange of funds or create enforceable obligations.
